Terms & Conditions

Effective date: October 31, 2026

1. Introduction and Acceptance

Welcome to Just Brilliant.

These Terms & Conditions ("Terms") govern your access to and use of the Just Brilliant website (the "Website"), as well as your interactions with the information, resources, and services made available through it.

The Website is operated by Just Brilliant, Inc. ("Just Brilliant," "we," "us," or "our").

By accessing or using our Website, you agree to these Terms and our Privacy Policy. If you do not agree, please discontinue use of the Website.

If you engage Just Brilliant for professional services, a separate proposal, statement of work, service agreement, or other written contract may apply. In the event of a conflict, the separately executed agreement will control the applicable services.

2. Our Services

Just Brilliant is a business growth, strategy, technology, and brand monetization company.

Our services may include:

  • Business strategy, consulting, and operational optimization.
  • Branding, marketing, and digital experience development.
  • Website, software, and application development.
  • Artificial intelligence solutions and business automation.
  • Customer relationship management (CRM) implementation and integration.
  • Sales funnel development and revenue optimization.
  • Digital products, training, coaching, and educational resources.
  • Other business development and professional services.

Descriptions of services on our Website are informational and do not constitute a binding offer or guarantee of availability.

Specific deliverables, timelines, fees, responsibilities, and performance expectations will be established through applicable service agreements.

3. Website Use

You agree to use our Website only for lawful purposes and in a manner that does not interfere with its operation or the rights of others.

You may not:

  • Attempt to gain unauthorized access to our systems, accounts, or infrastructure.
  • Introduce malicious software or engage in activities that compromise Website security.
  • Copy, reproduce, distribute, or commercially exploit Website content without authorization.
  • Use automated tools to extract substantial Website content without our written permission.
  • Misrepresent your identity or submit fraudulent information.
  • Use the Website to violate applicable laws or regulations.

We reserve the right to restrict access to the Website when reasonably necessary to protect our business, users, or systems.

4. Consultations, Proposals, and Engagements

Submitting an inquiry, completing a form, or scheduling a consultation does not establish a professional services relationship or obligate Just Brilliant to accept an engagement.

Any proposal, pricing estimate, project timeline, or service description is subject to confirmation and may be modified before a formal agreement is executed.

A binding professional services engagement is established only when the parties accept the applicable contractual terms.

5. Payments, Billing, and Refunds

Fees for professional services, digital products, subscriptions, or other offerings will be disclosed before purchase or engagement.

Unless otherwise specified in a separate agreement:

  • Payments must be made according to the agreed payment schedule.
  • Work may be suspended for overdue payments after appropriate notice.
  • Additional work outside the agreed scope may require additional fees and approval.
  • Recurring charges, where applicable, will be disclosed before authorization.
  • Refunds, cancellations, rescheduling, deposits, and service credits are governed by our Cancellation & Refund Policy, which is incorporated into these Terms by reference, as well as by any applicable separately executed service agreement and mandatory law.

Just Brilliant's Cancellation & Refund Policy applies to paid Clarity Calls and Deep Dive Strategy Sessions, $25 Diagnostic Calls, workshops (including Brilliant Foundation), and deposit-based engagements such as Brilliant Business 10-Day Fix and Build Studio. Strategy Sessions are paid in full when booked; Deep Dives are treated as Strategy Sessions, not deposit-based engagements.

For Strategy Sessions, cancellations at least 48 hours before the scheduled start time qualify for one free reschedule or a full refund less a $10 administrative fee. With at least 24 hours but less than 48 hours of notice, the client may reschedule once at no charge or receive a 50% refund, with no $10 fee. With less than 24 hours of notice, or for a no-show, payment is forfeited and no reschedule is offered. Any rescheduled session must take place within 30 calendar days of the original scheduled appointment date.

The $10 administrative fee applies only to otherwise full, customer-requested refunds, not partial refunds; it does not apply when Just Brilliant cancels or is unable to deliver a scheduled service. Other service-specific provisions—including nonrefundable deposits, workshop transfers, Diagnostic Call credits, late arrivals, and refund-processing timelines—are stated in the Cancellation & Refund Policy.

We make that policy available in connection with purchases and bookings. In case of a conflict with an individually executed service agreement, that agreement controls for the covered service, subject to applicable law. Nothing in these Terms limits mandatory refund, cancellation, or payment-dispute rights.

Just Brilliant will not impose undisclosed recurring charges or fees.

6. Intellectual Property

Unless otherwise stated, the Website and its original content, including branding, logos, text, graphics, designs, software, methodologies, and other materials, are owned by or licensed to Just Brilliant and protected by applicable intellectual property laws.

You may access Website content for personal or internal business evaluation purposes. You may not reproduce, redistribute, resell, or commercially exploit it without prior written authorization.

For client projects, ownership and licensing of deliverables, source code, designs, documentation, and other intellectual property will be determined by the applicable service agreement.

Unless expressly agreed otherwise, Just Brilliant retains ownership of its pre-existing tools, reusable frameworks, methodologies, templates, and proprietary technology.

7. Client Materials and Responsibilities

When providing information or materials to Just Brilliant, you represent that you have the necessary rights and permissions to provide them and authorize their use for the agreed purposes.

Clients are responsible for:

  • Providing accurate and timely information.
  • Obtaining necessary permissions for third-party materials.
  • Reviewing and approving deliverables where required.
  • Complying with laws applicable to their businesses.
  • Maintaining appropriate access controls for their accounts and systems.

Delays or inaccuracies in client-provided information may affect project schedules and deliverables.

8. Artificial Intelligence and Automation

Certain Just Brilliant services may incorporate artificial intelligence, machine learning, automated workflows, or third-party AI technologies.

AI-assisted outputs may contain inaccuracies, omissions, or unexpected results and may require human review.

Unless expressly agreed otherwise:

  • AI-generated content is not guaranteed to be error-free, unique, or suitable for every purpose.
  • Clients remain responsible for reviewing and approving AI-assisted materials before consequential business use.
  • AI recommendations do not constitute legal, tax, accounting, investment, or other regulated professional advice.
  • The use of third-party AI providers may be subject to additional contractual terms and privacy practices.

Any special requirements concerning confidential information, AI training, model providers, or data processing must be addressed in the applicable service agreement.

9. Third-Party Platforms and Integrations

Our Website and services may integrate with or link to third-party software, hosting providers, payment processors, CRM systems, analytics platforms, AI services, and other technologies.

Just Brilliant does not control the independent operations, terms, privacy practices, pricing, or availability of third-party providers.

Third-party services may require separate accounts, licenses, subscriptions, or agreements.

We are not responsible for third-party service interruptions or changes beyond our reasonable control, except to the extent responsibility is established under an applicable service agreement or law.

10. No Guarantee of Business Results

Just Brilliant develops strategies, systems, and solutions intended to help businesses improve their operations, customer experiences, marketing effectiveness, and revenue-generating capabilities.

However, business results depend on numerous factors, including market conditions, customer demand, implementation, client participation, and operational execution.

We do not guarantee specific revenue, profit, sales volume, conversion rates, business growth, or return on investment unless expressly committed to in a separate written agreement.

Any testimonials, case studies, or examples of client success illustrate individual experiences and do not guarantee comparable outcomes.

11. Confidentiality

We recognize that business engagements may involve confidential or proprietary information.

Confidentiality obligations for professional services will be governed by applicable nondisclosure agreements, service agreements, and laws.

Submitting information through a general Website form does not, by itself, establish a contractual confidentiality obligation. Please avoid submitting highly sensitive information through general inquiry forms unless we provide an appropriate secure method.

Personal information submitted through the Website will be handled according to our Privacy Policy.

12. Website Information and Disclaimers

Website content is provided for general informational purposes.

Although we strive to provide accurate and useful information, we do not warrant that all Website content will be complete, current, or free from errors.

To the maximum extent permitted by law, the Website is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.

Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.

13. Limitation of Liability

To the maximum extent permitted by applicable law, Just Brilliant and its officers, employees, contractors, and representatives will not be liable for indirect, incidental, special, consequential, or punitive damages arising from the use of or inability to use the Website, including lost profits, lost business opportunities, or business interruption.

This limitation does not apply where prohibited by law and does not override liability provisions contained in a separately executed professional services agreement.

Nothing in these Terms limits liability that cannot legally be limited.

14. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Just Brilliant from third-party claims, damages, liabilities, and reasonable expenses arising from your unlawful use of the Website, infringement of third-party rights, or material violation of these Terms.

This provision does not require indemnification for losses caused by Just Brilliant's own unlawful conduct or other circumstances where indemnification is prohibited by law.

15. External Links

Our Website may contain links to third-party websites, applications, or resources.

These links are provided for convenience and do not necessarily constitute an endorsement.

We are not responsible for the content, security, availability, or privacy practices of independently operated third-party websites.

16. Website Availability and Modifications

We may modify, update, suspend, or discontinue Website features or content from time to time.

We do not guarantee uninterrupted availability.

Changes to purchased services or contractual commitments remain subject to applicable agreements and laws.

17. Termination of Website Access

We may suspend or restrict access when reasonably necessary to address security threats, unlawful activity, or material violations of these Terms.

Termination of Website access does not automatically terminate a separately executed professional services agreement.

18. Governing Law and Disputes

These Terms & Conditions shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict-of-law principles.

Subject to applicable law, any legal action or proceeding arising from the use of this Website shall be brought before a court of competent jurisdiction in the State of Georgia.

Nothing in these Terms limits any rights or protections that cannot lawfully be waived under applicable consumer protection laws.

Disputes arising under separately executed professional services agreements shall be governed by the dispute-resolution provisions contained in those agreements.

19. Changes to These Terms

We may update these Terms periodically to reflect changes in our Website, business operations, or legal requirements.

The revised version will be posted with an updated effective date.

Material changes will be communicated where required by applicable law. Changes will not retroactively modify existing contractual rights without a lawful basis.
